1. Engagement & Scope of Services
Prime Growth Solutions Limited provides strategic business growth advisory, e-commerce consultancy, digital transformation, and operational improvement services. Engagements may be structured on a consultancy, project, ongoing management, or commercial partnership basis as set out in an individual Statement of Work (SOW).
2. Strategic Partnership & Implementation
Our advisory combines high-level strategic planning with actionable execution. Client understands that commercial growth requires collaborative implementation, timely provision of required information, and active commercial participation.
3. Intellectual Property Rights
Unless explicitly agreed in writing, proprietary methodologies, analytical models, and growth frameworks developed by Prime Growth Solutions Limited remain our exclusive property. Tailored deliverables produced specifically for client under an active SOW become client property upon full settlement of invoiced professional fees.
4. Confidentiality & Non-Disclosure
Both parties agree to hold all proprietary commercial data, market analysis, trade secrets, and customer journey information in strict confidence, exercising the same degree of care used to protect their own proprietary materials.
5. Professional Fees & Invoicing
Consultancy and project fees are invoiced according to agreed milestones or monthly retainer schedules. Invoices are payable within the timeframe stipulated in the relevant commercial contract.
6. Limitation of Liability
While our advisory is based on rigorous commercial experience and market analysis, business outcomes depend on multiple external market forces. Prime Growth Solutions Limited provides strategic advice with professional skill and diligence, but accepts no liability for indirect, consequential, or unforeseen commercial losses.
7. Governing Law & Jurisdiction
These Terms and any commercial agreements entered into with Prime Growth Solutions Limited shall be governed by and construed in accordance with the laws of England & Wales. The courts of England shall have exclusive jurisdiction.
